Data Processing Agreement

This Agreement applies to customers who process personal data using the Veld Wyser platform in the context of the GDPR. If you require a signed DPA for your organisation, please contact us.

1. Roles of the Parties
This Agreement covers farm data that the customer enters or uploads (such as field boundaries, herds, observations and labels). For that data the customer acts as the data controller and Veld Wyser as the data processor.
For account, usage and billing data (name, e-mail, login details, log data, invoices) Veld Wyser determines the purposes and means itself and is therefore the controller. That processing is governed by the Privacy Policy, not by this Agreement.
2. Subject Matter and Duration
This Agreement governs the processing of personal data by Veld Wyser for the duration of the Service agreement.
3. Nature and Purpose of Processing
Veld Wyser processes personal data solely for the purpose of providing the Service, including data analysis, storage, and model-based processing of agricultural and environmental inputs.
4. Instructions
Veld Wyser shall process personal data only on documented instructions from the customer, unless required by applicable law.
5. Confidentiality
Veld Wyser ensures that persons authorized to process personal data are subject to appropriate confidentiality obligations, whether by contract or statutory duty.
6. Security Measures
Veld Wyser implements appropriate technical and organizational measures to ensure a level of security appropriate to the risk, including encryption, access controls, and monitoring.
7. Sub-processors
The customer gives general authorisation for the engagement of sub-processors. Veld Wyser ensures they are bound by data protection obligations equivalent to those in this Agreement.
The current sub-processors are listed in section 7 of the Privacy Policy. Veld Wyser shall inform the customer at least 30 days before adding or replacing a sub-processor. The customer may object on reasonable grounds; if no solution is found, the customer may terminate the Service without penalty.
8. Assistance
Veld Wyser shall assist the customer in fulfilling obligations regarding data subject rights and data protection compliance, to the extent reasonably possible and within the scope of the Service.
9. Data Breaches
In the event of a personal data breach, Veld Wyser shall notify the customer without undue delay upon becoming aware, to allow the customer to fulfill its notification obligations under applicable law.
10. Deletion or Return
Upon termination of the Service, Veld Wyser shall, at the choice of the customer, delete or return all personal data, unless retention is required by applicable law.
11. Audits
The customer may request reasonable information or documentation to verify Veld Wyser’s compliance with this Agreement. Veld Wyser shall cooperate in good faith with such requests.
12. Governing Law
This Agreement is governed by the laws specified in the Terms of Service. Any disputes shall be submitted to the competent courts of that jurisdiction.
